These Terms of Service (“Terms”) govern access to Shoplenty and purchases from the Shoplenty online store. Shoplenty is the storefront brand operated by CSLM LLC, a Florida limited liability company. “Shoplenty,” “CSLM LLC,” “we,” “us,” and “our” refer to the store operator. By using the site or submitting an order, you agree to these Terms, the Privacy Policy, Shipping Policy, and Refund Policy. If you do not agree, do not use the site or place an order.
Eligibility and customer information
You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering a binding contract. Guest checkout and optional customer accounts are available. You must provide current, complete, and accurate account, billing, payment, and delivery information. If you create an account, you are responsible for its activity and for keeping credentials confidential.
Products and permitted use
Products are intended for lawful personal or household use unless a listing states otherwise. Follow all instructions, warnings, age restrictions, and applicable laws. Product colors and appearance may vary because of screens, manufacturing batches, or packaging updates. Measurements and specifications are approximate unless expressly guaranteed.
You may not use the site for fraud, unlawful activity, unauthorized resale schemes, infringement, interference with security, scraping, automated purchasing, malicious code, or attempts to access systems or data without authorization.
Prices, availability, and errors
Prices are shown in U.S. dollars unless stated otherwise. Taxes, shipping, and other disclosed charges are added at checkout. Products, prices, promotions, descriptions, and availability may change before an order is accepted. We may correct typographical, pricing, inventory, or technical errors. If an error affects an order, we may contact you for instructions or cancel the affected item and issue any required refund.
Orders and acceptance
Submitting an order is an offer to purchase. An automated confirmation acknowledges receipt but is not final acceptance. We may accept, reject, limit, place on hold, or cancel an order for inventory, pricing errors, suspected fraud, payment failure, sanctions or export restrictions, unsafe or abusive activity, supplier limitations, or other legitimate operational reasons. If we cancel after collecting payment, we will refund the canceled amount as required.
Payments and fraud review
You authorize the selected payment provider to charge the total shown at checkout. Payment services are provided by independent processors such as Stripe and enabled wallet or financing providers, subject to their terms. We may use address, device, identity, and transaction information for fraud screening and may request reasonable verification before accepting or fulfilling an order.
Fulfillment and third-party suppliers
Some products may be stored, packaged, or shipped directly by third-party suppliers or fulfillment partners. Orders may arrive in separate packages. Shoplenty remains responsible for its obligations as the seller, but carrier and supplier operations may affect estimates. Shipping, delays, address responsibility, and delivery claims are governed by the Shipping Policy.
Returns, refunds, and cancellations
Eligibility, deadlines, condition requirements, exclusions, return shipping, deductions, and refund timing are governed by the Refund Policy. Nothing in these Terms excludes a right or remedy that cannot legally be waived.
Reviews and submitted content
You retain ownership of content you submit. By posting a review, image, or other content, you grant Shoplenty a worldwide, nonexclusive, royalty-free license to host, reproduce, display, format, and use it for operating and promoting the store. You represent that you have the necessary rights and that the content is accurate, lawful, and not misleading. We may moderate or remove content for policy, legal, security, or authenticity reasons, but we do not promise to remove unfavorable reviews.
Intellectual property
The site, Shoplenty branding, original text, graphics, photographs, layout, and software are owned by or licensed to Shoplenty and protected by applicable law. Except for personal, noncommercial use of the store, no content may be copied, modified, distributed, sold, or exploited without written permission.
Third-party services
The site may link to or integrate independent services. We do not control their content, availability, security, or privacy practices. Your use of those services is governed by their own terms.
Disclaimers
To the maximum extent permitted by law, the site and products are provided “as is” and “as available,” except for express product warranties and non-waivable legal guarantees. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent those disclaimers are lawful. We do not warrant uninterrupted site access, error-free content, or that every product will remain available.
Limitation of liability
To the maximum extent permitted by law, Shoplenty and its service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, or lost data arising from the site or a product. For a claim relating to an order, aggregate liability will not exceed the amount paid for the product giving rise to the claim. These limitations do not apply where prohibited or to liability that cannot legally be limited, including certain claims involving fraud, willful misconduct, personal injury, or statutory consumer rights.
Indemnification
To the extent permitted by law, you agree to defend and indemnify Shoplenty against third-party claims and reasonable costs resulting from your unlawful misuse of the site, infringement of another person’s rights, or material violation of these Terms. This section does not require indemnification for Shoplenty’s own wrongful conduct.
Events beyond reasonable control
We are not liable for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, war, civil unrest, epidemics, government action, labor disputes, utility or internet outages, carrier disruption, or supplier interruption. This section does not eliminate cancellation or refund rights required by law.
Governing law and disputes
These Terms are governed by applicable United States federal law and the laws of the State of Florida, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court with lawful jurisdiction in Florida. Mandatory consumer protections continue to apply where they cannot be waived. These Terms do not require arbitration or waive participation in a class action.
Changes, severability, and waiver
We may update these Terms prospectively by posting a revised version and effective date. Terms in effect when an order is submitted continue to govern that order unless applicable law requires otherwise. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
